Acceptance

These terms govern your use of https://stratovia.services and any page on it, operated by Stratovia Consulting LLC. By using the site you accept them. If you do not accept them, please do not use the site.

These terms cover the website only. If we work together, the engagement is governed by a signed statement of work and our client terms, which take precedence over anything on this page.

Not professional advice

Everything published here is general information. It is not consulting, legal, accounting, tax, financial or investment advice, it is not tailored to your circumstances, and reading it does not make you a client. A client relationship starts only when both parties sign an engagement agreement. Do not act on anything here without taking advice suited to your own situation.

No guarantee of results

Marketing outcomes depend on your market, product, pricing, team, timing and execution, most of which sit outside our control. Nothing on this site is a promise, projection or guarantee of any commercial result. Case studies describe particular engagements under particular conditions and are not a representation that comparable results are typical or attainable. This is set out more fully in our disclaimer.

Intellectual property

The site and its contents, including text, design, layout, graphics, logos and code, are owned by Stratovia Consulting LLC or its licensors and are protected by copyright, trade mark and other laws. “Stratovia” and the Stratovia wordmark are our trade marks.

You may view the site, and copy or print extracts for your own internal business use or personal reference. You may quote short passages with attribution and a link. You may not republish substantial parts, sell the content, present it as your own, use it to train a machine learning model, or create derivative works, without our written permission.

Acceptable use

You agree not to use the site to break any law, to gain unauthorised access to any system, to interfere with its operation or security, to transmit malicious code, to impersonate anyone, or to harvest data by automated means beyond ordinary search engine indexing. Automated access that degrades performance for other visitors is not permitted.

Enquiries you send us

When you submit the enquiry form or email us, you confirm the information you provide is accurate and that you are entitled to send it. Do not send confidential information before an NDA is in place; until one is signed, we cannot treat unsolicited material as confidential.

If you send us feedback, suggestions or ideas about our services or this site, you grant us a perpetual, worldwide, royalty-free licence to use them without obligation to you. This does not apply to your confidential business information or anything covered by a signed NDA.

Third-party links

We link to other websites where they are useful. We do not control them, we are not responsible for their content, practices or availability, and a link is not an endorsement. Their terms and privacy policies apply once you leave this site.

Availability

We aim to keep the site available but do not commit to any level of uptime. We may change, suspend or withdraw any part of it, or the whole of it, at any time and without notice. We may also update these terms; the version in force is the one published here, with the dates shown at the top.

Disclaimer of warranties

To the fullest extent permitted by law, the site is provided “as is” and “as available”, without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the site will be uninterrupted, timely, secure, error-free, or free of harmful components, or that any information on it is complete, accurate or current.

Some jurisdictions do not allow the exclusion of implied warranties, so parts of this section may not apply to you.

Limitation of liability

To the fullest extent permitted by law, neither Stratovia Consulting LLC nor its members, officers, employees or contractors will be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, business, data, goodwill or anticipated savings, arising out of or connected with your use of the site, on any theory of liability, and whether or not we were advised of the possibility.

Our total aggregate liability arising out of or connected with your use of this site will not exceed one hundred United States dollars (USD 100).

Nothing in these terms excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded. Some jurisdictions do not allow certain limitations, in which case they apply only to the extent permitted.

Indemnity

You agree to indemnify and hold harmless Stratovia Consulting LLC and its members, officers, employees and contractors from any claim, demand, loss or expense, including reasonable legal fees, arising out of your misuse of the site, your breach of these terms, or your violation of any law or third-party right.

Governing law and disputes

These terms and any dispute arising out of them are governed by the laws of the State of New Mexico, United States, without regard to its conflict-of-law rules. The state and federal courts located in Albuquerque, New Mexico have exclusive jurisdiction, and you consent to their jurisdiction and venue.

Before starting proceedings, both parties agree to raise the issue in writing and to spend thirty days trying to resolve it directly. Nothing in this paragraph prevents either party from seeking injunctive relief where it is needed to prevent irreparable harm.

General

If any provision is found unenforceable, it is severed and the rest continues in force. A failure to enforce a provision is not a waiver of it. You may not assign your rights under these terms; we may assign ours to a successor in connection with a merger, acquisition or sale of assets. These terms, together with the documents they refer to, are the entire agreement between us regarding the website.
